The Corporate Counsel (six month contract) position will support Numerix's EMEA and APAC businesses, with primary responsibility for preparing, negotiating, and administering commercial agreements, including revenue, vendor and technology contracts, as well as advising on corporate governance and regulatory matters. The role involves close, day‑to‑day interaction with sales, technology, security, finance, HR and senior management, and coordination with external counsel where required. The position reports to the SVP & Chief Counsel and is based in the UK.
What You'll Do:
- Draft, review, and negotiate outbound SaaS master subscription agreements, professional services agreements, partner and distribution agreements, non‑disclosure agreements, and other commercial contracts for direct and indirect sales, using Numerix's contract management systems.
- Partner closely with Sales and business stakeholders throughout the contracting lifecycle, including:
- Supporting pre‑contracting and deal structuring;
- Advising on legal risk, contract interpretation, and renewal strategy;
- Preparing contract summaries and recommendations for senior management.
- Provide practical, commercial legal support to internal clients and ensure timely resolution of contract matters.
- Collaborate with revenue recognition, information security, sales operations, technology operations, and other stakeholder teams to ensure contractual alignment with internal policies, regulatory requirements, and risk frameworks.
- Draft and negotiate vendor, technology, and employment agreements.
- Advise senior management and business units on corporate, governance, and regulatory issues relevant to a global financial technology company.
- Instruct and manage external counsel to ensure advice and outcomes are consistent with Numerix's legal and commercial objectives.
- Monitor and advise on developments in data protection, financial services regulation, and technology‑related legal requirements impacting the business.
- Support employment‑related legal matters in partnership with Human Resources.
- Champion Numerix's core values and culture.
What We're Looking For:
- Qualified Solicitor or Barrister, with a degree in Law.
- Minimum 2 years' post‑qualification experience drafting and negotiating software and services agreements, preferably in‑house within a SaaS, financial services, or technology company.
- Strong experience advising on intellectual property, data protection, and technology contracting issues.
- Experience addressing AI‑related legal issues desirable but not essential, including:
- Use of AI tools in technology and commercial contracts;
- Intellectual property ownership and licensing of AI outputs;
- Data usage, confidentiality, and risk considerations associated with AI.
- Knowledge of open‑source licensing and software compliance.
- Ability to provide clear, pragmatic, and commercially focused legal advice in a fast‑paced environment.
- Strong negotiation, communication, and stakeholder‑management skills.
- Comfortable working independently while collaborating across global teams.
Where You'll Work:
This is a hybrid role, open to all who reside within EMEA with a preference for those based in Dublin or London.
