Legal Counsel at Achievers provides general legal support across the business on a wide range of legal matters, with a particular focus on commercial legal matters in support of the Revenue team, and assists in the execution of legal strategies as directed. Legal Counsel engages in a variety of commercial transactional matters in support of Achievers’ core business that provides a cloud-based employee recognition and rewards solution to accelerate employee engagement for our customers. This role demands a strong background in commercial and contract law, coupled with excellent analytical and communication skills, and business acumen, to ensure the company navigates complex legal landscapes effectively.
Responsibilities:
- Contract Review and Negotiation: Draft, review, and negotiate standard and non-standard customer agreements, including NDAs and other commercial contracts, with a primary focus on customer SaaS subscription services, and other technology and vendor agreements.
- Contract Repository Management: Maintain and manage customer commercial contracts repository, ensuring proper documentation and organization of all customer agreements and related materials.
- Legal Research: Conduct legal research on emerging issues and industry-specific regulations as assigned, ensuring the company stays current with relevant legal requirements.
- Negotiation of Customer Deals, Customer Support and Deal Management: Primarily negotiates new customer deals and support RFx responses. Support existing customer legal requests, customer questionnaire and audit requests, and handle commercial negotiations for renewals and expansions, including RFxs for new and existing customers.
- RFP and Documentation Support: Support all prospect and customer questionnaire and audit requests, including RFP responses in collaboration with relevant cross-functional teams
- Template Management: Maintain and update templates as required to improve workflow and efficiency within the legal department.
- Helpdesk Management: Manages and triages the legal helpdesk queue, providing timely responses and resolution to requests.
- Additional Responsibilities: Handle other duties as assigned, demonstrating flexibility and adaptability in supporting the legal team's objectives.
Qualifications:
- 2-5 years of relevant work experience in private practice or in-house
- J.D. or LL.B. degree with outstanding academic credentials
- Active and in good standing in at least one State Bar in the United States or Provincial Bar in Canada
- Working knowledge of privacy law and experience negotiating DPAs
- Experience with SaaS, subscription agreements, reseller agreements and other cloud-based and technology-related offerings preferred
- Demonstrated track record of successfully managing and negotiating a high volume of complex contracts, ideally in the technology or SaaS space.
- Ability to work independently, prioritize tasks, and multi-task in a fast-paced environment.
- Energetic self-starter with exceptional business judgment and creativity in approaching legal challenges.
- Comfortable interacting at all levels within the company, including senior management, Sales and revenue teams, information security, and finance.
- Capable of working collaboratively within the legal and broader teams, as well as independently on an individual basis with limited oversight.
- Excellent oral and written communication and interpersonal skills, essential for effective legal counsel.
