Corporate Business Paralegal

Position Summary

We are seeking a detail-oriented and proactive Paralegal with a strong foundation across litigation, real estate transactions, trusts & estates matters, and corporate law. The ideal candidate is a motivated professional who can manage multiple matters simultaneously, draft and review legal documents, interface with clients, and support attorneys throughout the full legal lifecycle of cases or transactions. This role requires excellent organizational skills, strong communication abilities, and a proven ability to execute responsibilities with minimal supervision.

Key Responsibilities:

Litigation Support

  • Prepare and organize pleadings, motions, discovery requests, subpoenas, and deposition summaries
  • Conduct legal research, cite-checking, and document review
  • Maintain case files, calendars, deadlines, and e-filings in state and federal courts
  • Coordinate with clients, experts, third-party vendors, and opposing counsel
  • Assist attorneys with trial preparation, exhibits, binders, witness lists, and hearing support

Real Estate & Transactional Work

  • Draft, review, and organize transactional documents including purchase agreements, leases, title documents, escrow instructions, and amendments
  • Coordinate closings, obtain signatures, manage escrow processes, and communicate with brokers, lenders, and title companies
  • Perform due diligence including corporate searches, UCC filings, and entity record verifications
  • Assist with document recording, reviewing surveys, and tracking contingencies or deadlines

Trusts & Estates

  • Draft wills, trusts, powers of attorney, health care directives, property transfers, and estate planning packets
  • Assist with probate filings, guardianship matters, inventory submissions, accountings, and beneficiary forms
  • Maintain trust administration calendars, track distributions, and communicate with fiduciaries and beneficiaries
  • Manage document organization and ongoing case updates for estate/trust files

Corporate & General Business Law

  • Prepare formation documents, LLC/partnership agreements, resolutions, minutes, and corporate governance materials
  • Maintain corporate records, cap tables, annual filings, and compliance documentation
  • Conduct due diligence for mergers & acquisitions and support transactional closings
  • Research statutory requirements and assist with regulatory or licensing submissions

Requirements

  • 2+ years of paralegal experience within at least two of the following areas: litigation, real estate, trusts & estates, or corporate law
  • Experience working at a law firm or in-house legal department
  • Strong drafting, proofreading, and document formatting skills
  • Familiarity with federal/state court rules and e-filing systems
  • Working knowledge of probate procedures and/or real estate closing workflows
  • Proficiency in legal software, e-filing platforms, MS Office, and document management systems

Preferred Qualifications

  • Associate’s or Bachelor’s degree
  • Paralegal Certificate from an ABA-approved program
  • Experience supporting multiple attorneys or case load
  • Familiarity with CRM, title software, or legal research tools (e.g., Westlaw, LexisNexis)

Pay: $60,000.00 - $75,000.00 per year
