Legal Counsel

CSafe, a global leader in temperature-controlled shipping solutions, is looking for an experienced Legal Counsel to join our dynamic and world-class organization in the Netherlands. In this pivotal role, you will be responsible for providing proactive and strategic legal guidance across various departments, including sales, operations, finance, and HR.

As a Legal Counsel at CSafe, you will play a key role in strengthening our legal framework and promoting a culture of legal awareness throughout the organization. Your day-to-day responsibilities will involve advising on a wide range of legal matters, including contracts, employment law, data protection, and corporate governance. You will report directly to the Head of Legal, contributing to both the operational success and long-term legal strategy of the company.

Key Responsibilities:

• Commercial Contracts & Agreements: Draft, review, and negotiate a variety of commercial agreements, including but not limited to supply agreements, sales agreements, lease agreements, transportation agreements with freight forwarders and customs brokers, non-disclosure agreements (NDAs), etc. Work closely with cross-functional teams (sales, operations, finance, HR, etc.) to ensure alignment and compliance. Draft templates for commercial contracts, terms and conditions of purchase and sale, and the company’s Code of Conduct.
• Legal Document Drafting: Draft members’ resolutions and other legal documents required for the company’s operations.
• Entity Registration Support: Assist with the registration of the Dutch entity's offices abroad, including managing legal requirements in 11 jurisdictions.
• Communication with Authorities & Advisors: Serve as the main point of contact for communication with state authorities, service providers, and external legal advisors (e.g., Dutch tax authorities, Dutch Chamber of Commerce) on behalf of the company.
• General Legal Advice: Provide general legal counsel on business decisions, contract negotiations, and strategies for various legal activities related to CSafe’s global entities.
• Compliance Training & Guidance: Offer guidance and training to employees and contractors on legal compliance matters, including topics such as the Foreign Corrupt Practices Act (FCPA) and other applicable laws and regulations.
• Legislative Awareness: Maintain up-to-date knowledge on changes in legislation and regulations that could impact the organization’s operations.
• Collaboration with Legal Leadership: Work closely with and provide support to the General Counsel (USA) and the Head of Legal (Netherlands) on various legal tasks and projects.

Job Qualifications:

• A minimum of 3 years of work experience as a lawyer and/or a corporate lawyer
• Master’s Degree in Law
• Knowledge and understanding of corporate law and procedures
• Experience in drafting and review of various agreements
• Ability to identify legal risks and to provide clear advice
• Detail-oriented and well organized
• Excellent verbal and written communication skills in English. Dutch is an advantage
• Able to work independently, manage large workloads, and keep deadlines
• Ability to think in terms of opportunities with an eye for legal risks
• Strong knowledge of Microsoft Office, including Word, Excel, and Outlook
• Open to new possibilities and challenges. Eager to learn and able to work with new tasks / legal areas
