A Snapshot
As Senior Legal Counsel - Corporate, you will report to Director, Legal – Corporate Transactions and work closely with various teams and leadership across the Asia Pacific region, making your mark in a number of ways:
- You will work closely with key business teams on key corporate workstreams including structuring and capital raising initiatives across the APJ region to support the rapid expansion of AirTrunk data centre developments across APJ, Middle East and such other relevant jurisdictions.
- You will advise on, shape and manage flow of funds within the AirTrunk Group to ensure compliance from a legal and regulatory perspective to drive value creation for AirTrunk.
- You will be able to hone new skills and expertise in related workstreams as required, including treasury, finance, tax, site selection and energy teams developing an in-depth knowledge of AirTrunk's business and providing legal expertise on AirTrunk's strategic initiatives.
Your Day to Day
- Provide expert legal advice on a range of corporate transactions including capital raisings, internal restructurings, acquisitions, new market entries and joint venture opportunities across the APJ, Middle East region and such other relevant jurisdictions, with support from external legal counsel as required.
- Direct and coordinate due diligence efforts on corporate transactions across legal, regulatory, and contractual areas, working closely with internal teams such as finance, tax, real estate, construction, power and operations.
- Review, negotiate and finalise key agreements, including complex transaction documentation, confidentiality agreements and preliminary deal terms.
- Identify, assess and manage legal and regulatory risks from a corporate and capital raising perspective, or with respect to any new markets, to ensure compliance with applicable laws and regulations across relevant jurisdictions within our APJ footprint and new markets in line with best practice.
- Monitor and identify emerging legal and regulatory issues and developments from a general corporate perspective, drive initiatives to ensure awareness and compliance and improve processes within AirTrunk, including through training and development of new policies and procedures.
Requirements
- Law degree from an accredited law school and current practising certificate (if required in your jurisdiction).
- 7+years experience with corporate/ M&A, funds management, private equity or real estate investment experience gained from a reputable law firm and/or within an in-house environment.
- Experience in advising across a wide spectrum of corporate and M&A transactions across full deal life-cycle from preliminary structuring to due diligence to review and negotiation of documentation to successful execution and delivery, post-closing and compliance management matters.
- Experience with managing cross-border corporate transactions essential, experience within APJ and/or Middle East jurisdictions highly regarded.
- Experience with advising large infrastructure or real estate players highly regarded but not essential.
- Demonstrated ability to apply sound judgement and commercial acumen to a range of cases, whilst delivering practical legal advice that manages risk and aligns with best practice.
- Ability to autonomously and efficiently manage multiple workstreams, priorities and stakeholders.
- Excellent communication, influencing, negotiation, relationship building and stakeholder management skills.
- Enjoys being challenged, has a "can do" attitude, is prepared to go above and beyond and is eager to learn and develop an in-depth knowledge of AirTrunk's business and operations.
