Job Description

VigilanteX is seeking a Transactional / Commercial Counsel/Manager to manage and execute day-to-day commercial legal work. This role focuses on drafting, reviewing, negotiating, and closing contracts that support business operations across the U.S., Mexico, and the Philippines.

The ideal candidate is someone who can independently, identify legal risks, and provide practical, business-oriented solutions in a fast-paced environment.

Key Responsibilities

• Draft, review, and negotiate commercial agreements (MSAs, SOWs, SLAs, SaaS agreements, NDAs, vendor and partner contracts)
• Identify legal risks and provide actionable recommendations
• Support IP-related matters (licensing, ownership, protection – non-patent)
• Advise on EOR and contractor arrangements for international operations
• Develop and maintain contract templates and clause libraries
• Work closely with internal teams (sales, operations, finance) to support transactions
• Coordinate with external counsel when needed
• Track contract obligations, renewals, and status

Qualifications

• At least 2-5 years of experience in commercial or transactional law
• Strong contract drafting and negotiation skills
• Excellent English communication skills
• Ability to work independently with minimal supervision
• Willing to work night shift aligned with U.S. business hours
• U.S. contracts experience strongly preferred; comparable international experience considered

Preferred Qualifications

• Background in SaaS, technology, manufacturing, or security industries
• Experience in cross-border transactions
• In-house legal experience

Pay: Up to Php100,000.00 per month
